Registering for Corporate Tax Without Missing the Window

Corporate tax registration in the UAE, from official pages: how to find your FTA deadline row, what EmaraTax asks for, and the published late penalty.

Editorial photograph illustrating Registering for Corporate Tax Without Missing the Window in the UAE

Under FTA Decision No. 3 of 2024, the registration deadline depends on the kind of taxable person and, for juridical persons, on when the person was set up or licensed. The decision, effective 1 March 2024, gives a UAE company incorporated on or after that date "(3) three months from the date of incorporation, establishment or recognition". A resident company that held a licence before then has a 2024 date set by the month its licence was issued.

This article gives you a worksheet to find the row that applies to you, quotes the decision's text for that row, and sends you to a licensed tax adviser and the FTA to confirm it.

If you first need to know whether corporate tax applies to your business at all, read the owner's overview of UAE corporate tax before this one.

RINJAZ is not a licensed tax adviser. This article describes published requirements. Obtain advice from a licensed UAE tax adviser before acting.

What the FTA publishes about who registers

The FTA's corporate tax registration service page states: "All juridical persons subject to Corporate Tax are required to register with the Federal Tax Authority and obtain a Corporate Tax Registration Number". The same sentence cites "Federal Tax Authority Decision No. (3) of 2024" as the source of "the specified timeline for the registration of persons subject to Corporate Tax and Business Tax."

  • Free zone businesses. The Ministry of Finance states: "All Taxable Persons (including Free Zone Persons) will be required to register for Corporate Tax and obtain a Corporate Tax Registration Number." Where you set up is a separate decision, covered in the mainland versus free zone framework.
  • Individuals. The FTA service page states: "A natural person is required to register if the total revenue generated from conducting business or business activities exceeds AED 1 million within a calendar year." It adds: "The following sources of income are excluded from the calculation of revenue earned by the natural person", listing "Salary", "Private investment income" and "Real estate investment income".
  • Businesses already registered for VAT. The FTA's corporate tax FAQ states: "Taxpayers will be required to register for UAE CT (and update their details, if required), even if they are already registered for VAT".

The decision the FTA page cites, and the newer one with a similar title

The registration service page. The FTA page, updated on 19 August 2026 and read on 20 September 2026, cites FTA Decision No. (3) of 2024 for the registration timeline. The FTA's page for that decision links its text, and showed no status note when we read it.

The decision text. The decision is headed "Federal Tax Authority Decision No. 3 of 2024 - Issued 22 February 2024 (Effective 1 March 2024)". Article 2 states that "any Taxable Person shall submit an application for Tax Registration in accordance with the timelines prescribed in Articles 3, 4 and 5 of this Decision." The English text the FTA publishes, like that of Decision No. 12 of 2026 below, is marked as an unofficial translation.

The newer decision. The FTA's corporate tax legislation list includes "FTA Decision No. 12 of 2026 on Registration and Deregistration Timelines", with an issue date of "Jul 16, 2026" and a publish date of "Aug 04, 2026".

Despite that list title, its text covers registration and deregistration for Top-up Tax. It is headed "The requirements for Registration and Deregistration of Entities for the purposes of Cabinet Decision No. 142 of 2024 on the Imposition of Top-Up Tax on Multinational Enterprises". It applies to fiscal years starting on or after 1 January 2025, and it does not name Decision No. 3 of 2024.

If your business belongs to a multinational group, take Decision No. 12 of 2026 to your tax adviser.

The published timelines, row by row

The rows below quote the timelines in Articles 3, 4 and 5 of Decision No. 3 of 2024. "The effective date of this Decision" in the quotations is 1 March 2024. We also quote the FTA's public clarification, a news item dated 11 June 2024, where it adds something the decision does not say.

RowWho (our summary of the decision; check its wording)Timing, as quoted from the decisionArticle

E2Non-resident natural person whose turnover in a Gregorian calendar year exceeds the threshold"(3) three months from the date of meeting the requirements of being subject to tax"5

Rows B and D3. For both rows, the FTA news item announcing the decision gives the date "31 May 2024".

Row E2. Article 5 of the decision sets the timeline and a turnover test for non-resident natural persons. The FTA's clarification of 11 June 2024 adds the AED 1 million figure, the permanent establishment condition and the start date. It states: "Natural persons that are Non-Resident Persons must submit a Tax Registration application for Corporate Tax if their Turnover from Businesses or Business Activities derived via a Permanent Establishment in the UAE exceeds AED 1 million during a Gregorian calendar year, starting from 1 January 2024."

A permanent establishment and a nexus. The decision gives a timeline for each. The FTA's clarification of 11 June 2024 states: "If the Non-Resident Persons has both a Permanent Establishment and a nexus in the UAE, the deadline to submit a Tax Registration application for Corporate Tax to the FTA is the earliest of their respective deadlines."

The licence-month table (row C)

Article 3(1) of the decision sets these deadlines. The first column heading is the decision's; the second is ours.

All the dated deadlines fall in 2024. If your business has not registered, ask a licensed tax adviser and the FTA.

The licence year, expired licences and more than one licence

The year of issue. The decision's table applies "irrespective of year of issuance". The FTA news item announcing the decision states the same point: "The year the license was issued is irrelevant".

More than one licence. Article 3(2) states: "where a juridical person has more than one Licence, the Licence with the earliest issuance date shall be used." The FTA's clarification of 11 June 2024 words it this way: "For those with multiple Licences, the deadline is determined by the earliest issuance date, considering the year of issuance of the Licence."

An expired licence. The FTA's clarification of 11 June 2024 adds a rule on expired licences: "If the Taxable Person holds an expired Licence at 1 March 2024, the reference for submission is still based on the month of its original Licence issuance."

Practical asset: the registration deadline worksheet. Work through it with a licensed UAE tax adviser, not instead of one. Q1. What kind of person is registering? A company or other juridical person incorporated, established or recognised under the applicable laws in the UAE, including in a free zone: go to Q2. A company incorporated outside the UAE and effectively managed and controlled in the UAE: if that began on or after 1 March 2024, find row A2; if earlier, or not sure, ask your adviser. A non-resident juridical person: go to Q5. An individual conducting business: go to Q6. Not sure which: ask your adviser. Q2. When was it incorporated, established or recognised? On or after 1 March 2024: note the date and the document that shows it, and find row A. Before 1 March 2024: go to Q3. Q3. Did it hold a licence on 1 March 2024? No: find row B. If the licence had expired by then, read the FTA's clarification on expired licences above and take that question to your adviser. Yes: note the licence issue month and year, and go to Q4. Q4. Does it hold more than one licence? Yes: list each licence with its issue date, note the earliest, and read Article 3(2) above. No: note the single issue month. Find the month in the licence-month table. Q5. Does the non-resident have a permanent establishment or a nexus in the UAE, and from what date? Find the matching row from D1 to D4, using 1 March 2024 as the dividing date. If it has both, read the FTA's clarification quoted above. Q6. Is the individual resident or non-resident? Resident: does the revenue test quoted from the FTA page above apply ("exceeds AED 1 million within a calendar year")? If so, find row E1. Non-resident: find row E2 and read the note on row E2. Revenue not above the threshold: record that answer. Last step, on each path: confirm the row with a licensed tax adviser and the FTA, then record the row, the date your adviser confirms, the decision number your adviser relies on, and the date you confirmed it.

The steps the page lists

Our summary of the FTA page's steps, with its button labels in quotation marks:

  1. Register and activate an EmaraTax account.
  2. Open the account dashboard.
  3. Create a new taxable person profile.
  4. Click "View" to open that profile.
  5. Open the three-dot "Action" menu under Corporate Tax.

The UAE PASS guide for businesses covers digital access for companies.

After you submit. The FTA's Corporate Tax Registration Taxpayer User Manual, version dated 17 May 2023, states: "Once the FTA confirms acceptance of your application, you will be notified on the decision". That manual predates Decision No. (3) of 2024; check its screens and process against EmaraTax as it stands today.

The late registration penalty and the waiver initiative

The penalty. The FTA service page answers its own question, "Is there a penalty for late registration for Corporate Tax? What is the amount, if applicable?", with: "Yes, an administrative penalty of AED 10,000 is imposed for late registration for Corporate Tax."

Article 6 of Decision No. 3 of 2024 states that where persons fail to register on time, "Administrative Penalties shall be applied in accordance with Cabinet Decision No. 75 of 2023 referred to above."

The Ministry of Finance publishes a consolidated text of Cabinet Decision No. (75) of 2023 and its amendments. Item 14 of its schedule reads: "Failure of the Taxable Person to submit a Tax Registration application within the timeframe specified by the Authority in accordance with the Corporate Tax Law." The penalty shown is "10,000". A footnote to the item states "Amended via Cabinet Decision No. (10) of 2024", "(applicable from 1 March 2024)".

The waiver initiative. The FTA service page states: "The Corporate Tax Late Registration Penalty Waiver Initiative allows taxable persons to be exempted from the AED 10,000 administrative penalty". The condition it gives is that "they submit their first Tax Return (or Annual Declaration for exempt persons, where applicable) within 7 months from the end of their first tax period."

The same page states: "The initiative applies to persons who registered late, have not yet submitted a registration application, or have been charged the penalty regardless of whether it has been paid." It adds: "If the penalty has already been paid, the amount will be credited back to the taxpayer's tax account upon meeting the conditions of the initiative."

The FTA's news item of 7 May 2025 states that the FTA "has begun implementing the UAE Cabinet Decision to exempt certain corporate taxpayers from administrative penalties". Its news item of 14 May 2026 states: "The decision came into effect in April 2025 and applies to any late Corporate Tax registration penalties applicable from 1 June 2023, subject to meeting the specified conditions."

A wording difference. For exempt persons, the FTA's waiver page refers to "the annual declaration within seven (7) months from the end of their first financial year". The registration page refers to the end of the "first tax period". If you are an exempt person, ask the FTA which reference date applies.

What we did not find. Neither news item gives the number of the Cabinet Decision behind the waiver, and no decision text for the waiver is published on the pages we reviewed. We found no end date for the initiative either. We reviewed these FTA pages on 20 September 2026.

The FTA publishes an eligibility check for the waiver, titled "Corporate Tax Late registration penalty waiver" and "Eligibility check", which asks for a "Date of establishment" and a "Financial year". The FTA decides whether the waiver applies to your business.

Questions to take to your adviser and the FTA

  1. Which row of the published timelines applies to the business, and why?
  2. Which FTA decision sets that deadline today? If the business belongs to a multinational group, does FTA Decision No. 12 of 2026 on Top-up Tax registration apply to it?
  3. If the deadline has passed, what does the FTA say applies now?
  4. Does the penalty waiver initiative apply, and what date must the first return or declaration be filed by?

This article does not tell you your deadline or whether the waiver applies to you. Those conclusions belong to a licensed UAE tax adviser and the FTA.
